Welcome to hotchat.ai! These Terms of Service ("Terms") govern your access to and use of the hotchat.ai services ("Services"). Please read these Terms carefully before using our Services. By accessing or using hotchat.ai, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

1. Use of the Services

Your Registration Obligations

In order to access certain features of hotchat.ai, you may be required to register and provide personal information. You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities that occur under your password or account. You agree to:

• Immediately notify hotchat.ai of any unauthorized use of your password or account or any other breach of security.
• Ensure that you exit from your account at the end of each session when accessing the Services.

hotchat.ai will not be liable for any loss or damage arising from your failure to comply with this section.

Modifications to the Services

hotchat.ai reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that hotchat.ai will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

General Practices Regarding Use and Storage

You acknowledge that hotchat.ai may establish general practices and limits concerning use of the Services, including without limitation the maximum period of time that data or other content will be retained by the Services and the maximum storage space that will be allotted on hotchat.ai's servers on your behalf. You agree that hotchat.ai has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded to the Services. You acknowledge that hotchat.ai reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that hotchat.ai reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

In addition to complying with these Terms, you agree to abide by hotchat.ai's Acceptable Use Policy ("AUP"). You agree that you are solely responsible for all content that you upload, post, publish, or display ("upload") or transmit to or share with other users ("User Content").

You agree not to use the Services to:

• Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Harm minors in any way.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Services.

The Services may contain links to third-party websites or services that are not owned or controlled by hotchat.ai. hotchat.ai has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that hotchat.ai will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

3. Indemnity and Release

You agree to release, indemnify, and hold hotchat.ai and its affiliates and their officers, employees, directors, and agents harmless from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the Services, any User Content, your connection to the Services, your violation of these Terms, or your violation of any rights of another.

4. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. hotchat.ai AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT hotchat.ai AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF hotchat.ai HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

• THE USE OR INABILITY TO USE THE SERVICES;
• ANY CHANGES MADE TO THE SERVICES OR ANY TEMPORARY OR PERMANENT CESSATION OF THE SERVICES;
• THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE AND/OR SEND OR RECEIVE YOUR TRANSMISSIONS OR DATA ON OR THROUGH THE SERVICES;
• STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; OR
• ANY OTHER MATTER RELATING TO THE SERVICES.

6. Changes to Terms

hotchat.ai reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Santa Clara County, California for the purpose of litigating all such disputes.
